For restructuring professionals

A buyer for the business, on the process timetable.

For restructuring and bankruptcy attorneys, chief restructuring officers, turnaround consultants, lenders' workout and special-assets teams, receivers, assignees and trustees. When a company has to be sold fast, you need a buyer who can underwrite it fast, close on the timetable the process sets, and run it the morning after. That is what we do.

Processes

Where we bid.

Brand-led product and manufacturing companies, $5M to $30M in revenue, larger in distressed situations. Florida first, then the US East Coast.

01Chapter 11 and Subchapter V.

Section 363 sales of the business or its operating assets, as a bidder in the auction or as stalking horse where the size fits.

02Article 9 sales.

Secured-party sales where the lender is taking the decision and wants a buyer who keeps the business trading.

03Florida assignments and receiverships.

Assignments for the benefit of creditors under Chapter 727 and court-appointed receiverships, where speed and a going-concern buyer protect the recovery.

04Out of court.

Forbearance situations, refinancing gaps, lenders that want to exit. We can buy the business, recapitalize it alongside the lender, or buy the lender's position.

05Pre-negotiated sales.

A buyer lined up before the filing, so the case is short and the business loses as little value as possible in court.

06Carve-outs under pressure.

A division or brand sold by a parent that is restructuring itself. We can take the operating business, its people and its customers on day one.

Timeline

Our commitments in a process.

Distressed processes run on days, not quarters. If we cannot meet a commitment on a given deal, you hear it before the deadline.

Within 24 hours
First call with the founder, and a straight answer on fit.
Within 24 hours
NDA signed and returned. We sign market-standard NDAs ourselves, without waiting on counsel.
Within 7 business days of data room access
Written indication of interest with a value range, the assets and liabilities we would take, and how we fund it. Or a no, with the reason.
By the bid deadline
Binding bid with a marked-up purchase agreement, the deposit the bid procedures require and evidence of funds.
On the sale order timetable
Closing, and the founder in the building the next morning.
What we bring

Why a process is better with us in it.

01

Certainty of funds.

Up to $2M of equity per transaction from our own balance sheet, with evidence of funds at the bid. Bids sized to our own equity carry no financing contingency.

02

A going-concern buyer.

We buy the operating business, its people and its customers, not just the inventory and the brand. That protects jobs, supplier relationships and the recovery for creditors.

03

Operator underwriting.

We value the business we are going to run, not a model. That is why we can bid quickly, and why our bids hold.

04

We have been on the other side.

Fogal was bought out of bankruptcy and rebuilt; Borsalino was taken through its insolvency proceeding and turned around. We know what a debtor, a lender and a court need from a buyer.

05

One decision-maker.

No investment committee to reconvene when the auction moves. The person on the call is the person who signs.

06

Respect for the process.

We work through you, counsel and the CRO. No side conversations with management, creditors or employees without your agreement.

What to send

A docket number is enough to start.

Or a teaser, the asset list, the timetable and the bid procedures if they exist. We answer within 24 hours when a process is running.
